US LAW FIRM PRIVATE EQUITY ASSOCIATE – UK SOLICITOR WITH PE TRANSACTIONAL EXP & MIN 4 YRS PQE REQUIRED £250K - £300K Benefits & Bonus HYBRID (LONDON) Ref:4060D Our client, a leading US practice now expanding in the UK, seeks a high calibre Private Equity Associate for their private equity transaction practice advising private equity sponsors, portfolio companies and management teams on a broad range of matters, including; auction and buyout processes majority and minority investments bolt-ons exits corporate advisory work You should have at least 4 years PQE, experienced in working on private equity transactions including drafting and negotiating preliminary documentation (eg Exclusivity Agreements, Heads of Terms and Management Equity Term Sheets) as well as SPAs, Disclosure Letters, Investment Agreements and Articles of Association, legal due diligence and ancillary documentation. You should also have excellent drafting & technical skills and some market knowledge of typical terms on private equity transactions.
