National Trustee (Paid position)


We are looking for an Independent Trustee to work alongside our elected National Trustees. This individual will work alongside our elected National Trustees, National Board members, Committees, CEO and senior leadership team where appropriate to advise and support on a range of financial governance decisions in a complex environment.


We envisage that this will be a commitment of approximately one day a month and will be paid on a day rate. Please contact us for more information.


Key Responsibilities


  • Have regard to the powers conferred on them by the Regulations (section 20) and the Trust Documents and the limits therein. Per the 2007 Trust Deed, the National Trustee's role is confined to managing and administering the joint fund (herein after referred to as the "National Fund").
  • Carry out the instructions and direction of the National Board in respect of investment and other matters concerning the National Fund, in accordance with the Trusts Documents, Regulation 20(4) and 20(6) and the Fund Rules.
  • Ensure that in carrying out their role as managing the National Fund under the direction of the National Board this is done to further the purposes and interests of the members of the PFEW and in line with the Fund Rules.
  • Safeguard the organisation’s National Fund and property assets applying them towards the Federation’s objectives and / or for the good of the Federation and in accordance with the direction of the National Board.
  • Attend the National Conference (Rule 45.1.3).
  • Receive notifications of the waiving of tenders / quotations in excess of £25,000 in accordance with the Financial Limits policy, albeit that the National Trustees do not have a role to approve or sign off those waivers.
  • Receive notifications of write-off of debtors – without any sign off or approval requirement in line with the Financial Limits Policy.
  • If specified in the terms of reference, provide an advisory role on the Finance Committee (Appendix 6 of the Rules).
  • If specified in the terms of reference, sit on the National Reserve Fund Committee (Appendix 6 of the Rules).
  • Deal with credit card appeals (Appendix 7b Credit Card Policy).
  • Trustees to meet with the CEO bi-monthly to get a briefing of critical decisions and risks for the Federation. The CEO will also provide the trustees with a summary of the important decisions following each National Board meeting.
  • One representative of the trustee group (chosen by the trustees) can attend a portion of a National Board for a specific topic if required.
  • Confirmation of additional responsibilities assumed by the current Trustees (e.g. dip-testing expenses, attending NB).


The National Trustees should not:


  • Hold office for longer than six years (paragraph 16, Appendix 5 Fund Rules of the Rules);
  • Hold a position on the National Board whilst an appointed National Trustee;
  • Attend full Board Meetings of the National Board (unless requested for a specific topic). This is to prevent conflicts of interests for the Trustees. National Trustees can, and should be appraised of the decisions of the National Board and matters which are relevant to their role;
  • Act outside the confines of the powers conferred on them by the legislation and the Trust Deeds.


Experience


  • Able to demonstrate extensive experience within finance in a leadership or executive level capacity.
  • Previous experience of working within complex stakeholder environment and governance procedures.
  • It would be advantageous to have previous experience of working as a Non-Executive for a non for profit or public sector organisation.
