Our vision is to “Pioneer fairer financial outcomes by empowering lenders to deliver and enabling savers to prosper” We are doing this by building a unique and highly scalable data driven multi-asset bank through a partnership of ecosystems, specialising in the delivery of forward flow partnerships and portfolio acquisitions from non-bank lenders, alongside our own brand deposits.Purpose of RoleThe Company Secretary, will be a flexible, part-time role that plays a crucial role in ensuring the smooth operation of the start-up bank by providing administrative support to the board of directors and executive committee, ensuring compliance with statutory and regulatory requirements, and implementing decisions made by the board. This role will be required to work 10 days per month. Key Accountabilities Organise and prepare agendas and papers for board meetings, board & executive committeesEnsure that the company complies with legal and regulatory requirements.Ensure the company complies with its governance manual and shareholder engagement planMaintain statutory books, including registers of members, directors, and secretaries.Monitor changes in relevant legislation and the regulatory environment and take appropriate action.Liaise with Board members, external regulators and advisers, such as lawyers and auditors when necessary.Other Duties:Assist in the development and implementation of corporate governance policies.Provide support in the preparation of annual reports and other statutory filings.Coordinate the preparation and distribution of shareholder communications.Support the board in strategic planning and decision-making processes.Handle correspondence, collate information, and write reports, ensuring decisions made are communicated to the relevant company stakeholders.Key Knowledge and Skills Required:Strong background in banking and financial services.In-depth knowledge of UK company law and corporate governance.Familiarity with the regulatory requirements of the FCA and PRA.Excellent organizational and time-management skills.Proficiency in using office software, including Microsoft Office Suite.Key Competencies:Attention to detail and high level of accuracy.Strong communication and interpersonal skills.Ability to work independently and as part of a team.Problem-solving skills and the ability to make sound decisions.High level of integrity and professionalism.Key Attributes:Proactive and self-motivated.Adaptable and able to manage multiple tasks.Discreet and able to handle confidential information.Strong ethical standards and commitment to corporate governance.Enthusiastic about working in a dynamic start-up environmentBenefitsLifestyle and family friendly policiesHealth Insurance for you and your spouse28 days Holiday Entitlement (plus bank holidays) pro-rataLife InsurancePension ContributionMust be able to work in the UK without requiring Sponsorship.
